Thanks for working with us. We wrote these terms in plain English so you can actually read them. If anything isn't clear, email us at [email protected] and we'll explain it straight.
This is an agreement between your business and Apex Roofing Systems LLC, a New Mexico limited liability company doing business as Recoup ("we," "us," "Recoup"). When you start a subscription or make a payment, you're agreeing to what's below.
A quick note on who this is for: Recoup sells to businesses, not to consumers. By signing up, you're confirming you're purchasing for your business, not for personal or household use.
Depending on your plan, we build and run some or all of the following:
Your specific plan and price are what you agreed to at checkout. We may improve how a feature works over time, but we won't remove a core part of your plan without telling you first.
We move fast, but only if you do your part. You agree to:
If we're waiting on you, timelines pause. That's the only reason a build runs long.
Your subscription renews automatically and bills to the card on file on the same day each month, until you cancel. Prices are in U.S. dollars. Your first payment starts your service immediately.
Ad spend: if your plan includes paid advertising, that money goes to Google or Meta — not to us. It's separate from our management fee and isn't refundable.
Cancel anytime. No contract, no cancellation fee.
Email [email protected] and tell us you'd like to cancel. Then:
Cancel and want to come back later? Great. We'll set you up at whatever pricing is current then.
If you're not happy in your first 30 days, we'll refund your first month. No hard feelings, no runaround.
Two fair conditions, so we actually get a chance to do the work:
1. You sent us your photos and business information within 5 business days of signing up.
2. You told us what was wrong and gave us one chance to fix it first.
The guarantee covers your first month's subscription fee. It doesn't cover ad spend or third-party fees we've already paid on your behalf. After 30 days we don't refund past months — but you can cancel anytime under Section 4.
You own:
We own or license: the platform, software, systems, templates, and automations that run your service.
What that means in practice: your website runs on our platform, and your subscription keeps it live. If you cancel, the site comes down — but your domain stays yours, and we'll send you a full copy of your content (photos, copy, reviews, contacts) within 14 days of your request so you can go anywhere you want. We won't hold your domain or your data hostage. Ever.
Showing off your project: we'd like to use your website and results as an example of our work. If you'd rather we didn't, tell us in writing and we'll leave you out of it.
We're good at this and we work hard for the businesses we take on. But here's the honest truth about what nobody in this industry can guarantee:
We don't guarantee specific results. We can't promise a certain number of leads, calls, bookings, customers, revenue, search rankings, or a spot in Google's map results. Too much depends on your market, your competition, your pricing, your reviews, how you handle the calls you get, and how Google decides to work that week.
The service is provided "as is." To the fullest extent the law allows, we disclaim all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose, and non-infringement.
What we do promise: we'll build it well, run it properly, and tell you the truth about how it's performing.
Your service runs on tools built by other companies — Google, Meta, Stripe, HighLevel, phone and messaging carriers. We're not responsible when those platforms have outages, change their rules or pricing, reject an ad, or suspend a listing or account. If it happens, we'll tell you what's going on and do what we reasonably can to fix or work around it.
If your plan includes text messaging or automated calling, this part matters.
You're responsible for having proper consent from the people being contacted, and for following the laws that apply to business messaging and calling — including the TCPA and your carrier's rules. We'll set the system up correctly and handle carrier registration, but we can't control who you add to a list or who you ask us to contact.
You agree not to use anything we build to send spam, to contact people who've asked you to stop, or to send anything misleading or illegal. If you do, we can suspend your service immediately.
We stand behind our work. If we mess something up, tell us and we'll fix it. But there's a limit to what we can be on the hook for financially:
Our total liability for any claim is capped at what you paid us in the three months before the claim. We're not liable for indirect losses — lost profits, lost business, lost data, or similar — even if we knew they were possible.
Nothing here limits liability for fraud, gross negligence, or willful misconduct, and nothing here limits any liability that can't be limited under New Mexico law.
You agree to cover us if a claim comes from something on your end — content you gave us that wasn't yours, messages you had us send without consent, or use of the service that broke the law or these terms.
Please talk to us first. If you're unhappy with a charge, email [email protected] before disputing it with your bank. We answer fast, and a chargeback just freezes both of us and slows down getting you your money. We'll work in good faith to sort out any problem within 30 days.
If we still can't resolve it: you and Recoup agree to settle the dispute through binding arbitration in New Mexico, administered by the American Arbitration Association under its Commercial Rules, rather than in court. This applies to both of us equally — we give up the same right to sue that you do.
These terms are governed by the laws of the State of New Mexico.
We can suspend or end your service if you don't pay, break these terms, or use what we built to do something illegal or abusive. Where reasonable, we'll give you notice and a chance to fix it first. If we end service for one of those reasons, you still owe anything outstanding.
We may update these terms as our services change. If we make a meaningful change, we'll email you at least 30 days before it takes effect. Keep using the service after that and you're agreeing to the new version. Don't like it? Cancel under Section 4.
